BUYING
THE PROCESS

Below each offer, you will find an inquiry form, which we ask you to fill out.

Before we can send you confidential information, such as the name of the company, we need a signed non-disclosure agreement (NDA) from you. This will be sent to you promptly by email.

After signing the NDA, we will send you initial details, such as the link to the online shop and, if necessary, conduct a brief meeting to get to know you.

We or the seller will then be happy to answer any further questions you may have about the company. If you’re interested, you can submit a letter of intent (LOI) or an offer.

Once there is an agreement between you and the seller, the last step is signing the sales contract. 

Dragonflip will guide you through the entire process, because we value trust and close cooperation.

Of course, the seller will be at your disposal for a certain period of time after the takeover so you can understand all the processes and continue the business successfully.

BUYING

1. I WOULD LIKE TO FINANCE THE PURCHASE THROUGH A BANK. HOW MUCH EQUITY DO I NEED?

This depends very much on the type of financing. A popular option is KFW as a development bank. We recommend that you have at least 20-30% equity available. Our KFW-advisor will be happy to give you a consultation.

2. HOW DOES BRAND TRANSFER WORK ON AMAZON?

If the sale involves an asset deal where only the brand is sold, the Seller Central account usually cannot be transferred to the buyer. This means the buyer needs to have his own account

If the seller stores the goods in Amazon shipping centers (FBA), the products must be retrieved from the warehouse by return order and potentially labeled with the buyer's barcode. The products can then be sent back to Amazon via the buyer's Seller Central account. Since the buyer is then the sole seller and new brand owner, he automatically gets write permission for the listings.

All ratings and rankings are thus preserved.

3. WHAT IS EBITDA?

We use the owner's profit based on EBITDA (earnings before interest, taxes, depreciation, and amortization), also known as "Owner's Cash Flow". However, EBITDA often has to be adjusted for smaller companies for tax reasons, as a lower official EBITDA / annual net profit is often reported in order to reduce the tax burden.

4. IS THE CEO’S SALARY TAKEN INTO ACCOUNT IN THE ADJUSTED EBITDA?

The CEO or managing director’s salary is not included in our calculation. This is due to the fact that everyone pays a different salary. In order to improve comparability, we have decided to adjust the salaries of all companies. Other employees’ salaries are of course excluded from this.

5. HOW IS THE EVALUATION OF THE LISTINGS CARRIED OUT?

Over the past 12 months, we have tracked and evaluated over 200 e-commerce transactions. This means we know exactly which multiples are achieved on average in which price segment. In addition, we have daily conversations with investors to find out which criteria are important for them, as well as what makes a company more valuable for them and what doesn’t.
