Terms and Conditions for Buyers
General Terms and Conditions between DragonFlip and the Buyer
- Scope of Application
The following General Terms and Conditions (hereinafter “GTC”) govern the contractual relationship between Dragonflip GmbH, represented by the managing director Wilhelm Reich (hereinafter “Dragonflip”), and potential buyers of Amazon listings (hereinafter “Buyer”), who connect with potential sellers (hereinafter “Seller”) through the platform www.dragonflip.com and wish to purchase their business or assets.
DragonFlip is merely an intermediary and is not a contracting party. The contract is concluded exclusively between the Seller and the Buyer.
- Object of the Contract
Dragonflip publishes anonymized listings provided by Sellers on its website www.dragonflip.com.
If the Buyer is seriously interested in a listing, they submit an inquiry via a form. The form includes the Buyer’s contact details and a proof of liquidity.
Dragonflip forwards the inquiry and the form to the Seller.
The Seller decides whether to contact the potential Buyer.
The GTC remain in effect for 12 months after the listing has been removed from Dragonflip.
- Obligations of the Buyer
In the event of a successful mediation between the Seller and the Buyer, the Buyer is obliged to inform DragonFlip immediately, and no later than 14 days after a successful sale, by email at hello@dragonflip.com.
A mediation is considered successful if the Buyer and the Seller conclude a contract.
The Buyer is also obliged to send a copy of the signed contract to DragonFlip immediately, and no later than 14 days after receipt of the signed contract. The contract copy should be sent via email to hello@dragonflip.com.
- Compensation
In the case of a successful mediation between the Buyer and the Seller, DragonFlip charges the Seller a mediation fee.
The use of the mediation platform DragonFlip is free of charge for the Buyer.
- Liability
DragonFlip assumes no liability for any information provided by the Seller or Buyer to Dragonflip at any time.
Liability for slight negligent breaches of duty is limited to foreseeable, contractually typical, direct damages, unless the damages concern injury to life, body, or health, or guarantees, or claims under the Product Liability Act are affected.
DragonFlip provides the Seller with a non-binding standard contract as a service. However, the Seller and Buyer are generally free to choose the contract. Should discrepancies arise in the execution of the sale due to the use of the standard contract, DragonFlip is not liable. The parties are advised to seek legal advice in case of uncertainties.
